Terms and Conditions
Hello! Thank you for taking the time to learn more about Sonix. We are appreciative of your interest to sell our products and so proud of the strong and committed network of Retailers who represent us in the marketplace. It is this community of partners who share and uphold our vision of brand integrity and service excellence. We look forward to learning more about your business and building a successful working relationship. Below are our terms and conditions. Please read in its entirety. By submitting your Wholesale Form, you indicate that you understand and accept all terms and conditions.
Documents and Verification Required
- All wholesale accounts doing business with Lenntek Corporation must complete the Wholesale Form in its entirety and confirm that all information provided is honest and truthful.
- Retailers must provide photo images of the their store front.
- An approved Retailer will have 90 days to submit their initial opening order. Failure to do so will result in deactivation.
- Wholesale Accounts with no sales activity for one year will be deactivated. Deactivated accounts must reapply for approval.
Transshipping, Address Change and New Store Openings
- Transshipping to locations that have not been disclosed to and approved by Lenntek Corporation is strictly forbidden.
- Applicant must provide a list of all locations it intends to sell products in.
- If an approved Retailer opens additional and/or changes locations (moves) the Retailer must notify their Lenntek Corporation Account Manager.
Ecommerce
- Lenntek Corporation seeks to keep a fair marketplace for all retailers and to avoid artificial price wars on 3rd party platforms.
- If a Retailer has its own platform/website, it must be presented to Lenntek Corporation to be reviewed and receive approval before listing products on site.
- Retailers may not utilize national/global selling platforms, including but not limited to Amazon, Ebay, Etsy, JET, Shoptique, etc. without approval of Lenntek Corporation.
- Failure to fully disclose all sites and/or listing prices below MSRP will result in an immediate review of your account. Lenntek Corporation may terminate any customer not in compliance with these terms and conditions with immediate effect.
Pricing Policy
- Lenntek Corporation Retailers agree to follow and maintain minimum Manufacturer Suggested Retail Price (MSRP) guidelines.
- Retailers must maintain at a minimum, the published MSRP’s.
- If desired, a Retailer may choose to price product above MSRP’s.
- Retailers may not artificially mark prices above MSRP and then promote “as marked down” to MSRP to appear as discounted.
- If desired, a Retailer may request to mark product down in store ONLY. Online discounts/sales must be approved by Lenntek Corporation.
- Prices are subject to change without notice.
- Lenntek Corporation makes every effort to monitor and enforce the Retail Pricing guidelines and at its discretion, may choose to discontinue doing business with non-compliant Retailers.
Payment Terms
- Lenntek Corporation offers prepaid payment terms. A valid credit card is required for all orders.
Order Minimums
- Lenntek Corporation requires all orders to equal a minimum of dollar amount. Minimums will be provided by Sonix Account Manager and may change annually.
Copyright Notice and Image Use
- All showroom and catalog imagery, advertisements, email and website contents including page headers, footers, images, graphics, patterns, and test are subject to trademark, service mark, trade dress, and any other intellectual property rights or licenses held by Lenntek Corporation.
- Lenntek Corporation will provide product images when requested. ALL print ads, web banners, and store signage must be approved by Lenntek Corporation.
Transportation
- Retailer is responsible for all shipping fees, unless order meets “free shipping” minimum advised by the Sonix Wholesale site.
- Lenntek Corporation will ship using the most cost effective carrier of its choice: UPS, Fedex or USPS.
- Retailer may request specific carrier to be used, if paying for shipping charges. Request must be sent to Sonix Account Manager when order has been placed.
- All discrepancy claims must be made within 5 business days of receipt of goods.
Back Orders
- All backorders will ship unless customer specifically notifies us with written instructions to cancel back orders. Lenntek Corporation reserves the right to cancel backorders that do not satisfy the minimum requirements.
Returns/Cancellations
- Retailers must provide notice to cancel an order via email wholesale@shopsonix.com within 24-48 hours of placing their order.
- Unauthorized returns are not allowed.
Termination, Non-Exclusivity, and Discontinuation
Lenntek Corporation is under no continuing obligation to supply you with Sonix products and may terminate any agreement between Lenntek Corporation and you at any time and for any reason. Further, there is no guarantee that any products offered by Lenntek Corporation will be offered on a continual basis, and Lenntek Corporation may discontinue supplying any product line to you at any time and for any reason.
